House Committee Narrows HB1374 — But the Bill Still Reshapes VMI's future.

With the General Assembly still in session, House Bill 1374 has undergone a significant transformation. What began as a sweeping proposal to dissolve the Virginia Military Institute's (VMI) independent Board of Visitors and transfer governance to Virginia State University (VSU) has now been narrowed dramatically by a House Committee Amendment in the nature of a Substitute offered on February 11, 2026. When House Bill 1374 was first introduced, it proposed dissolving the Virginia Military Institute's independent Board of Visitors and placing VMI under the governance of another public university. The revised Bill eliminates the governance move but continues to contain significant changes and impacts on VMI, especially regarding the role of alumni in its operations and future. VMI will keep its independent Board of Visitors. Its property will not transfer. Its statutory mission language remains intact. Its honor code, ROTC requirement, and military structure remain codified in law. At first glance, it appears VMI has avoided a fundamental restructuring. But the amendment makes a different — and potentially more lasting — change: it restructures who governs the Institute. And that change goes directly to the heart of what makes VMI Virginia's Military Institute. What the Amendment Changes Under existing Virginia Code §23.1-2501, VMI's Board of Visitors consists of 16 Governor-appointed members and the Adjutant General as a nonvoting ex officio member. Of those 16 appointed members: 12 must be alumni 8 of those alumni must be Virginia residents 4 must be non-resident alumni 4 must be non-alumni Virginia residents This current structure guarantees two things: 1. VMI Alumni control the board with a 12-vote majority.2. Virginia-based alumni hold a strong majority presence. The House Committee amendment eliminates both guarantees. The board shall consist of 17 members, of whom 16 shall be appointed by the Governor, and one shall be the Adjutant General, who shall serve as an ex officio nonvoting member. Of the 16 members appointed by the Governor, (i) no more than eight shall be alumni of the Institute, (ii) at least six shall be nonalumni residents of the Commonwealth, and (iii) at least five shall have United States military experience. [emphasis added] Under the substitute language: No more than eight of the 16 appointed members may be alumni - all can be non-alumni At least six members must be non-alumni residents of the Commonwealth; more or all may be non-alumni residents. More can be non-Virginia residents. At least five must have senior-rank U.S. military experience, defined as an enlisted rank of E-7 or an officer rank of O-5 or above. - Potentially leaving less than a majority of the BOV with military experience to govern a Senior Military College. Alumni may now hold only half the seats — and potentially none at all. There is no longer a requirement that alumni members reside in Virginia. The Alumni Association may still submit nominations to the Governor, but alumni are no longer guaranteed a structural role in guiding the Institute. From Alumni Majority to Alumni Minority For generations, VMI's board structure ensured that those who had lived the Rat Line, marched in parades, and commissioned into service would hold primary stewardship over the Institute. Most importantly, it guaranteed they had experience and fully supported VMI's the single-sanction honor code – with its associated Corps-run Honor system --, and That model and Cadet-control remain embedded in institutional memory in governance. It was not accidental. It was statutory. § 23.1-2500, C. remains requiring, "The Institute shall be grounded in a strict code of honor," but non-VMI alumni and non-Virginians now decide what that is. The amended bill shifts the balance. A board that was once 75% alumni could now be only 50% alumni — or less. The language states "no more than eight shall be alumni of the Institute" – in real terms, the governor and General Assembly may appoint a Board with no alumni representation. Virginia-resident alumni are no longer guaranteed representation. The statutory identity of VMI as a Virginia-rooted, alumni-stewarded institution is weakened. Why the Word "Virginia" Matters VMI is not simply a military college. It is the Virginia Military Institute. Its founding in 1839 was a Commonwealth project. Its traditions are intertwined with Virginia's military history, state service obligations, and civic culture. Its alumni network is deeply rooted in Virginia communities. As covered in The Cadet's Nov. 8, 2024, article, Can the Virginia Military Institute thrive as a college? In 1838, a full year before the first cadet sentinel, John. B. Strange assumed his post, and VMI began, the Institute's founder, J.T.L.Preston defined what the Institute would be by its very name. According to Jennings C. Wise's Sunrise of the Virginia Military Institute, Preston personally chose Virginia Military Institute:" 'Virginia' implying a state institution; 'Military,' its characteristic feature; and 'Institute,' something different from either 'college' or 'university.' Later, Preston would point out that the three names implied a pyramid of which the sides would rise to whatever height the whole structure would attain." The current statute reinforces that identity by requiring Virginia-resident alumni to hold significant board authority. The amended bill removes that structural tie and makes VMI's governance "less Virginia" and more in line with that of a typical college than with an Institute. While six non-alumni members must be Virginia residents, alumni themselves are no longer required to live in the Commonwealth. The result is a board potentially less anchored in Virginia's civic and social fabric, less represented by Virginia taxpayers and stakeholders, and more shaped by gubernatorial discretion in appointments. The Institute's name reflects its purpose: to serve the Commonwealth by producing citizen-soldiers. The governance structure now moves one step further from that original design.A Shift toward Civilian Institutional NormsThe amendment also introduces a mandatory requirement for a senior military rank. On its face, that may appear aligned with VMI's mission, but the requirement does not specify alumni status.Senior military enlisted soldiers and officers who did not attend VMI — and who may not share its single-sanction honor system may now direct VMI's operations and future. J.T.L. Preston designed VMI specifically not to be "the West Point of the South," with the mission to create "citizen soldiers" rather than purely officers for the Armed Forces, unlike the Academies, which are designed to achieve the latter. Most notably, VMI was founded to serve Virginia first. Combined with the reduction—or elimination — of alumni seats, this opens the door to a board composition more similar to that of a civilian public university: a mix of political appointees, non-alumni residents, and outside professionals. Nothing in the amendment directly changes VMI's honor code language. Nothing alters ROTC requirements. Nothing abolishes the Corps of Cadets.But governance shapes culture over time. Boards: Hire and evaluate professors and superintendents Review disciplinary appeals Set strategic direction Influence funding priorities Determine long-term institutional posture Determine the structure, application, oversight operation, and existence of the Honor Code, Honor System, Ratline, Corps System, and Class System. A board less grounded in VMI's lived traditions may view those traditions differently. The Risk of Drift The amended bill does not mandate a change to VMI's ethos, but it creates the structural conditions for such a change. Alumni-majority governance provided institutional continuity. It ensured that those who had experienced the Institute's rigor and singular honor code and system were the primary stewards of its future. By reducing alumni representation and eliminating guaranteed Virginia-based alumni influence, the amendment shifts that stewardship model. Those unfamiliar with — or unsympathetic to — VMI's history and purpose could now hold equal or greater authority than those shaped by it. Over time, that shift could influence: Interpretation of the honor system Preservation of traditions (Ratline, Corps system, Class system, etc.) Approach to cadet discipline Strategic academic direction Cultural and historic preservation decisions The change does not immediately alter VMI's character, but it recalibrates who has the authority to do so. What Was Avoided — And What Was Not The original HB1374 would have dissolved VMI's Board entirely and transferred governance to another entity. That proposal would have fundamentally altered the Institute's institutional independence. That has been removed.VMI remains legally independent. Its board remains intact. Its property remains under its own governance. But the composition of that board — and therefore the future direction of the Institute — is no longer anchored in the same alumni-majority, Virginia-centered model that has defined it for over 187 years. Why This Matters At first glance, the amendment may appear to preserve the status quo. VMI keeps its board. Its traditions remain codified. Its honor code, military structure, and ROTC requirement are unchanged in law. But governance determines direction. A board that is majority alumni brings a different perspective than one that is evenly divided between alumni and non-alumni appointees. For generations, VMI's board structure ensured that alumni — many of them Virginia residents — held a controlling voice in institutional stewardship. That structure reinforced the Institute's "citizen-soldier" tradition, linking Lexington, alumni networks, and the Commonwealth through statutory design. The amendment alters that design. The amendment does not abolish the Institute's identity. It changes who safeguards it. VMI's traditions, ethos, and founding principles are not self-executing. They are preserved through leadership and governance. Reducing alumni and Virginia-resident representation moves the Institute incrementally away from a governance model rooted in its own lived experience and Commonwealth heritage. VMI was founded to serve Virginia and the nation through a distinct military education grounded in honor, discipline, and citizen-soldier leadership. If the board charged with protecting that mission becomes less representative of those who have embodied it, the long-term character of the Institute could gradually shift toward something more typical of a civilian public college — structurally similar, politically shaped, and less defined by its singular military culture. The practical impact will unfold over time as appointments are made. The statutory language itself does not dictate outcomes. It establishes the framework within which those outcomes are determined, and the balance of influence within that board is no longer what it used to be. If HB1374 passes the General Assembly and Governor Spanberger signs it, the changes take effect with the July 2026 BOV appointments, so it will have an immediate impact on VMI and the 2026 - 2027 academic year.
